My office is currently involved in a dozen lawsuits over several buy-sell agreements of eight skilled-nursing homes in Northern California.

The deals were put together by experienced tax and transactional attorneys and business professionals, who with a combined fifty years of experience,no doubt believed that they had considered all possible contingencies, and advised the sellers that the deals were air tight. Unfortunately they were not.

As often happens, what was considered air tight resulted in legal complaints and cross-complaints in several forums throughout California, including in Alameda, San Francisco, Contra Costa, Solano and Los Angeles County Superior Courts.

Our firm acted as plaintiff counsel, bringing claims for breach of contract along other business torts, such as fraud, violation of business and Professions Code Section 17200; and theft and misappropriation of resources. Because no insurance policies covered those actions, our firm also worked as defense counsel in allegations of fraud and other torts.
